The terms governing access to and use of WorqNET.

1. Agreement and important documents

These Terms of Service (“Terms”) form a legal agreement between you, the customer or authorized user (“you”, “Customer”, or “User”), and COSQ Network Private Limited (“COSQ Network”, “we”, “us”, or “our”), operator of WorqNET.

By creating an account, accepting an order, clicking an acceptance button, accessing a customer organization, or using WorqNET, you agree to these Terms. If you use WorqNET for a company or another organization, you represent that you have authority to bind that organization, and “Customer” includes that organization. If you do not have authority or do not accept these Terms, do not use the Service.

The following documents form part of the applicable agreement: the Privacy Policy, Pricing Policy, Refund Policy, any applicable Data Processing Agreement, order form, subscription details, acceptable-use requirements, and written enterprise terms. A signed or negotiated order controls over these public Terms to the extent of a conflict.

2. The Service and deployment options

WorqNET is a business software platform for organization administration, project and work-item management, documents and attachments, CRM, collaboration, people and leave workflows, payroll-related workflows, reporting, calendar connections, email notifications, and SaaS billing.

SaaS. In SaaS mode, COSQ Network operates a multi-tenant cloud service. Access, plan limits, billing, renewal, and availability are governed by the applicable subscription and the Pricing Policy. Supported SaaS payments may be processed through Cashfree.

On-Premise. On-premise WorqNET is separately licensed for installation on customer-controlled infrastructure. On-Premise customers do not use the public Cashfree SaaS checkout, and SaaS plan prices do not determine On-Premise license fees or entitlements. The applicable license, support, maintenance, or services agreement controls.

Features, limits, integrations, interfaces, and technical requirements may evolve. We may modify or discontinue a feature when reasonably necessary for security, legal compliance, technology changes, or product development. We will address material changes through the applicable account, order, or service channel where required.

3. Eligibility and authority

  • You must provide accurate, current, and complete registration, organization, billing, and tax information.
  • You must be legally capable of entering a contract and must comply with the law applicable to you and your use of the Service.
  • You must not use the Service for a child or on behalf of a child without the permissions, safeguards, and lawful basis required by applicable law.
  • If you are an administrator, you are responsible for ensuring that invitations, roles, permissions, notices, and instructions given to Users are authorized.
  • You must not misrepresent your identity, organization, location, tax status, authority, or relationship with another person.

4. Accounts, administrators, and security

You are responsible for your account credentials, devices, API tokens, connected integrations, and activity conducted through your account. Keep credentials confidential, use strong unique passwords, restrict administrator access, and notify us promptly at security@worqnet.com of suspected unauthorized access.

Organization administrators may invite Users, assign roles, manage projects, configure integrations, access organization content, and request deletion or export. The Customer is responsible for selecting administrators and informing Users how their information will be processed. COSQ Network may rely on instructions from an authorized administrator unless it has reason to believe the instruction is unauthorized or unlawful.

We may use email confirmation, login lockout, session controls, multi-tenant authorization, audit logs, and other safeguards. Security controls reduce risk but cannot guarantee that the Service will never be compromised.

5. Subscriptions, billing, and taxes

Paid subscriptions, plan limits, countries, currencies, billing intervals, tax treatment, upgrades, renewals, and cancellation are described in the Pricing Policy. Prices shown publicly are generally net prices before applicable taxes. The final amount is calculated server-side using the billing information, country, currency, tax rules, and order applicable at checkout.

For supported SaaS markets, Cashfree or another identified payment provider may authorize payments, process recurring charges, send payment events, and provide transaction references. You authorize the applicable charges and must maintain a valid payment method. We may retry failed payments, send notices, apply a grace period, restrict activity, place an organization into read-only status, suspend access, or cancel the subscription according to the applicable process and law.

Indian customers may be charged applicable GST. Customers outside India may be responsible for VAT, sales tax, GST, digital-services tax, duties, withholding, reverse-charge obligations, or similar charges in their jurisdiction. You must provide accurate legal name, address, billing country, tax registration, and exemption information.

Refunds and credits are governed by the Refund Policy. Nothing in these Terms removes a mandatory statutory remedy.

6. Trials and promotions

Any trial, free plan, promotional price, or credit is offered subject to the terms displayed when it is activated. The standard trial is configured by the deployment and is intended to default to 14 days. Trial conversion, payment details, expiry behavior, eligibility, renewal price, duration, and stacking restrictions may vary by offer.

We may withdraw or correct an offer before acceptance where permitted by law. Promotional benefits may not be transferred, resold, combined, or applied to a prior payment unless expressly stated.

7. Customer content and responsibilities

“Customer Content” means data, text, files, documents, images, contacts, employee information, payroll-related information, project records, messages, configurations, and other material submitted to or generated in a Customer organization.

As between the parties, the Customer retains its rights in Customer Content. You grant COSQ Network a limited, non-exclusive, worldwide license to host, reproduce, transmit, display, adapt as technically necessary, back up, secure, and otherwise process Customer Content only to provide, maintain, secure, support, and improve the Service, comply with law, and perform the applicable agreement.

You represent that you have all rights, notices, permissions, consents, and lawful bases needed for Customer Content and your instructions. You must not upload information that you are prohibited from processing or that is unnecessary for the feature. You are responsible for the accuracy, quality, legality, and integrity of Customer Content and for responding to requests from people whose data you control.

For customer personal data processed on your instructions, the DPA or other negotiated data-processing terms apply. Our Privacy Policy explains COSQ Network’s direct processing of account, billing, support, security, and website data.

8. Acceptable use

You must use WorqNET lawfully, fairly, and only for legitimate business purposes. You must not:

  • break any applicable law, regulation, court order, sanction, export control, or professional obligation;
  • infringe, misappropriate, or violate another person’s privacy, confidentiality, copyright, trademark, patent, trade-secret, publicity, or other rights;
  • upload malware, ransomware, spyware, destructive code, unlawful content, deceptive content, or content that facilitates violence, fraud, harassment, discrimination, exploitation, or abuse;
  • access another organization, account, tenant, project, document, API, or system without authorization;
  • probe, scan, reverse engineer, decompile, bypass security, defeat access controls, or test the Service for vulnerabilities without written authorization;
  • interfere with availability, overload the Service, send spam, scrape at scale, harvest personal data, or use automated access contrary to published limits;
  • use the Service to make high-impact employment, credit, health, legal, safety, or other decisions without appropriate human review, notices, safeguards, and compliance responsibilities;
  • use payroll, HR, CRM, marketing, social, or calendar features in a way that violates applicable consent, notice, labor, telemarketing, platform, or data-protection obligations;
  • resell, sublicense, rent, lease, share, or make the Service available to an unauthorized third party; or
  • use the Service to compete with COSQ Network by copying its design, functionality, documentation, or non-public behavior.

We may investigate suspected violations and take proportionate steps, including removing content, restricting functionality, suspending accounts, preserving evidence, or notifying authorities where legally required or permitted.

9. Intellectual property

COSQ Network and its licensors own the Service, software, source and object code, user interface, designs, documentation, trademarks, logos, database structure, know-how, and improvements, excluding Customer Content. These Terms grant only the limited right to access and use the Service during the applicable subscription or license term.

WorqNET, COSQ Network, and related marks may not be used without permission. You may provide suggestions or feedback; you grant COSQ Network the right to use it without restriction or payment, provided we do not identify you publicly without permission or disclose your confidential Customer Content.

10. Third-party services and integrations

The Service may connect to Cashfree, SMTP providers, Google, Microsoft, OpenID Connect providers, calendar services, social platforms, hosting providers, AI or other integrations. When you enable an integration, you authorize the relevant exchange of information and are responsible for the third party’s account, permissions, terms, availability, fees, and privacy practices.

Third-party services are not controlled by COSQ Network. An integration may stop working because of provider changes, revoked authorization, rate limits, outages, or policy restrictions. We are not responsible for third-party acts or omissions except to the extent responsibility cannot lawfully be excluded.

11. Compliance with Indian law

COSQ Network operates from India. Use of electronic records, authentication, communications, and transactions may be subject to the Information Technology Act, 2000 (“IT Act”) and rules made under it, as applicable. The parties must not use the Service for unlawful computer-related activities, unauthorized access, identity misuse, tampering, or transmission or storage of prohibited material.

Where WorqNET or a particular feature is legally treated as an intermediary or otherwise falls within its scope, applicable requirements of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended, may apply. Nothing here represents that every provision of those Rules applies to every WorqNET deployment, customer, or feature. We may publish and maintain user rules, privacy information, grievance channels, and lawful-content procedures to the extent required.

Customers must comply with the DPDP Act, 2023 and rules in force when they determine the purpose of processing personal data in WorqNET. They must provide notices, obtain valid consent where required, honor Data Principal requests, apply appropriate safeguards, and give COSQ Network documented instructions needed to provide the Service. Our Privacy Policy and DPA provide related details.

Commercial transactions may also involve Indian contract, consumer protection, e-commerce, GST, tax, payment, intellectual-property, labor, and cyber-security requirements. Customers must obtain their own professional advice for regulated or sector-specific uses, including payroll and employee data.

12. Global compliance

COSQ Network sells globally. The Service and these Terms may therefore be affected by mandatory laws in the Customer’s or User’s location, including the GDPR and UK GDPR, ePrivacy and cookie rules, United States state privacy and consumer laws such as CCPA/CPRA where applicable, Canadian, Australian, Singaporean, and other local privacy, consumer, electronic-transactions, tax, export-control, and cybersecurity laws.

Neither party promises that one global compliance position applies to every transaction. The Customer must assess its own sector, workforce, locations, instructions, transfers, notices, consents, and regulatory obligations. Where GDPR applies, the parties should execute the DPA and use appropriate transfer safeguards. Mandatory rights, consumer protections, and regulator powers are not waived by these Terms.

13. Availability, support, and maintenance

We aim to provide a reliable Service but do not guarantee uninterrupted, error-free, or fully secure operation. Availability may be affected by maintenance, emergency security work, telecommunications, hosting, payment, integration, force-majeure events, or Customer Content and configuration.

Support channels, response targets, maintenance commitments, service levels, backup arrangements, and recovery objectives apply only if stated in an order or support agreement. Customers must maintain appropriate internal backups and business-continuity procedures, especially for On-Premise deployments.

14. Suspension and termination

We may suspend or restrict access where reasonably necessary to protect the Service, Users, Customer Content, or third parties; respond to security or legal risk; investigate a suspected violation; comply with a lawful request; address non-payment; or prevent fraud and abuse. Where practical, we will provide notice and an opportunity to cure. Immediate action may be taken where delay would create material risk.

You may stop using the Service or cancel as described in the Pricing and Refund Policies. On termination or expiry, access ends or changes according to the subscription, license, order, DPA, and applicable retention process. The Customer should export required Customer Content before termination. Sections concerning payment obligations, Customer Content responsibilities, intellectual property, confidentiality, disclaimers, liability, indemnity, governing law, and dispute resolution survive as appropriate.

15. Confidentiality

Each party must protect the other party’s non-public information using reasonable care and use it only for the agreement. Confidential information does not include information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. A party may disclose confidential information to employees, advisers, providers, regulators, or authorities with a need to know and a legal or confidentiality obligation.

16. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”. COSQ Network disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, and error-free operation, except where such disclaimer is not permitted.

WorqNET is not legal, tax, accounting, payroll, employment, medical, financial, or compliance advice. Payroll and reporting outputs require review by qualified personnel. You are responsible for decisions made using the Service, regulatory filings, employee and customer communications, tax positions, and the accuracy of Customer Content.

17. Limitation of liability

To the maximum extent permitted by applicable law, COSQ Network and its directors, officers, employees, affiliates, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data, arising from the Service or these Terms.

To the maximum extent permitted by applicable law, COSQ Network’s aggregate liability for claims arising from a paid SaaS subscription will not exceed the fees paid or payable by the Customer for the affected Service during the 12 months before the event giving rise to the claim. For free plans and trials, the aggregate cap is INR 10,000. These caps do not limit liability that cannot lawfully be limited, including liability for fraud, deliberate misconduct, or other non-excludable liability under applicable law. The specific cap and exclusions must be reviewed for each customer market and enterprise contract.

18. Indemnity

To the extent permitted by law, the Customer will defend and indemnify COSQ Network and its personnel against third-party claims, losses, penalties, and reasonable costs arising from Customer Content, the Customer’s instructions, unlawful use, breach of these Terms, infringement of third-party rights, or the Customer’s failure to comply with privacy, employment, tax, marketing, or sector-specific obligations. This does not apply to the extent a claim results from COSQ Network’s own willful misconduct or breach.

19. Governing law and disputes

These Terms are issued by an Indian company and are intended to be governed by the laws of India, without excluding mandatory consumer or data-protection laws that apply to a Customer or User in another jurisdiction. Disputes should first be raised with legal@worqnet.com for good-faith resolution.

Subject to mandatory law and any negotiated order, disputes may be brought before the competent courts in the jurisdiction applicable to COSQ Network’s registered office. The registered-office jurisdiction and any arbitration, venue, language, or escalation procedure must be confirmed in the relevant order and by legal counsel before production publication.

20. Changes to these Terms

We may update these Terms when the Service, law, security requirements, providers, or commercial practices change. We will update the version and dates above and, where required, provide notice or obtain acceptance. Continued use after the effective date constitutes acceptance only to the extent permitted by law. A material change may give a Customer the right to cancel under its order or applicable law.

21. General provisions

If a provision is unenforceable, it will be limited or replaced to the minimum extent necessary and the remaining provisions will continue. A waiver must be in writing and applies only to the specific instance. The Customer may not assign these Terms without our prior written consent, except in a permitted merger or sale of substantially all assets. COSQ Network may assign these Terms as part of a corporate reorganization, financing, merger, or sale, subject to applicable law. Nothing creates a partnership, agency, employment, fiduciary, or joint-venture relationship.
